These Terms of Service (“Terms”) govern access to and use of chantierworks.com, the Chantier Works application, and related services (collectively, the “Service”).
The Service is provided by Chantier Works Inc. (“Chantier Works”, “we”, “us”, or “our”).
By creating an account, starting a trial, purchasing a subscription, accepting an invitation to an account, or using the Service, you agree to these Terms.
1. Business Use
Chantier Works is designed for contractors, renovation businesses, and other business users.
The Service is provided for commercial and professional use, not personal, family, or household use.
By using the Service, you confirm that:
- you are at least 18 years old;
- you have legal capacity to enter into these Terms;
- you have authority to bind any company or organization for which you use the Service;
- you use the Service for business or professional purposes.
If you do not agree to these Terms, do not use the Service.
2. The Service
Chantier Works provides business management software for contractors and renovation businesses.
The Service includes the features made available under the customer's selected subscription plan and the features released as part of the Service.
Chantier Works is a software platform. Chantier Works is not a contractor, accountant, lawyer, notary, tax advisor, engineer, architect, payment processor, bank, lender, or financial institution.
3. Accounts
You are responsible for:
- providing accurate account information;
- protecting login credentials;
- all activity performed through your account;
- managing access for authorized users;
- notifying Chantier Works when you identify unauthorized account access.
Each user account is assigned to one individual.
Sharing one user account between multiple individuals to avoid user or seat fees is prohibited.
The account owner or primary administrator controls authorized users and account-level settings.
4. Subscription Plans and Pricing
Chantier Works offers subscription plans identified on the pricing page and at checkout.
The pricing page and checkout identify:
- the subscription price;
- the billing interval;
- included users;
- additional-user pricing;
- plan features;
- trial eligibility;
- annual pricing;
- AI usage allowances;
- applicable promotional terms.
The subscription terms accepted at checkout form part of these Terms.
5. Free Trial
The Standard plan includes a 14-day free trial.
The trial:
- requires no credit card;
- lasts 14 days from activation;
- does not convert to a paid subscription unless the customer actively purchases a subscription;
- becomes inactive at the end of the trial when no paid subscription is purchased.
Trial data is retained according to the Privacy Policy.
Repeated trial registrations created to bypass the trial limit are prohibited.
6. Billing and Automatic Renewal
Paid subscriptions are billed in advance according to the monthly or annual billing interval selected at checkout.
Subscriptions automatically renew at the end of each billing period until cancelled.
Subscription payments are processed through a third-party payment provider.
By submitting payment information, the customer authorizes the third-party payment provider and Chantier Works to process recurring subscription charges until the subscription is cancelled.
Subscription prices are displayed before applicable taxes unless checkout states that taxes are included.
The customer is responsible for sales taxes and similar charges that apply to the subscription.
7. Additional Users
Each plan includes the number of users displayed at checkout.
When an additional paid user is added:
- access starts immediately;
- the charge is prorated for the remainder of the current billing period;
- future renewals include the full recurring seat price.
When a paid seat is removed:
- the reduction takes effect at the next renewal;
- no refund or credit is issued for unused seat time;
- the seat remains available for reassignment until the renewal date.
8. Upgrades and Downgrades
An upgrade takes effect immediately and the price difference is prorated for the remainder of the current billing period.
A downgrade takes effect at the next renewal.
After a downgrade:
- existing business records remain in the account;
- existing AI-generated content remains in the account;
- features that are not included in the new plan become unavailable;
- user accounts above the new plan's included-user allowance are disabled;
- disabled user accounts are not deleted.
The downgrade interface identifies the users and functionality that will be disabled before the customer confirms the downgrade.
9. Cancellation
A paid subscription can be cancelled at any time.
Cancellation stops the next automatic renewal.
The subscription remains active until the end of the already-paid billing period.
Customer Data is retained according to the Privacy Policy.
Cancellation does not create a right to a partial refund.
10. Refunds
All subscription payments are non-refundable once processed, except for:
- duplicate charges;
- confirmed billing errors;
- refunds required by applicable law.
No refund or credit is issued for unused subscription time, unused user seats, failure to use the Service, voluntary cancellation, or a downgrade scheduled for the next renewal.
11. Promotions and Credits
Promotional discounts and credits are governed by the terms displayed with each promotion.
Promotions do not stack unless the specific promotion expressly states that stacking is allowed.
Account credits:
- have no cash value;
- apply only to eligible Chantier Works charges;
- follow the expiry and usage rules stated when the credit is issued.
12. AI Features and Usage
AI functionality is subject to the usage allowance displayed in the customer's account.
When the included AI allowance is exhausted, additional AI usage requires an approved usage extension or the purchase of additional usage.
Chantier Works monitors AI usage to enforce account allowances, maintain service quality, control processing costs, and prevent abuse.
AI usage allowances and additional-usage pricing are displayed in the Service.
13. AI Output
AI-generated content is assistance, not professional advice or a guarantee of correctness.
AI output can contain errors, omissions, outdated information, or information that does not fit a specific project.
The customer is responsible for reviewing and verifying AI output before using it.
The customer must independently verify information that affects:
- estimates;
- pricing;
- quantities;
- materials;
- labor;
- contracts;
- legal rights or obligations;
- permits and building requirements;
- taxes;
- invoicing;
- payment obligations;
- project decisions;
- safety.
Chantier Works does not guarantee that AI-generated content is correct, complete, legally compliant, or suitable for a specific project.
14. Customer Data
“Customer Data” means information, documents, records, photographs, files, and other content submitted to the Service by the customer or authorized users.
The customer retains ownership of Customer Data.
The customer grants Chantier Works the limited rights required to:
- host, store, process, transmit, and display Customer Data;
- generate requested documents and outputs;
- operate integrations selected by the customer;
- provide requested AI functionality;
- secure and maintain the Service;
- provide support;
- comply with legal obligations;
- enforce these Terms.
Storing Customer Data does not transfer ownership of that data to Chantier Works.
15. Restricted Sensitive Information
The Service is not designed to store highly sensitive information that is unrelated to the normal operation of a contracting or renovation business.
Customers must not upload or store:
- full payment card information;
- online banking credentials;
- Social Insurance Numbers or Social Security Numbers;
- passport numbers;
- driver's licence numbers or other government identification numbers;
- medical records;
- biometric identifiers;
- third-party passwords or authentication secrets.
This restriction does not apply when a specific Chantier Works feature expressly requires the information and provides a designated field or workflow for it.
16. Personal Information About Clients and Employees
The Service stores information about clients, employees, subcontractors, property owners, and other individuals.
The customer is responsible for:
- determining what information the customer is legally permitted to collect;
- obtaining required consent;
- providing required privacy notices;
- using the information lawfully;
- responding to privacy requests relating to business records controlled by the customer.
The customer must not use Chantier Works to collect, store, or process personal information unlawfully.
Chantier Works handles personal information according to the Privacy Policy.
17. Documents, Estimates, Contracts, and Signatures
Chantier Works provides tools for creating business documents.
The customer is responsible for the content and use of every document created through the Service.
Chantier Works does not guarantee that a document:
- complies with every law or regulation that applies to the customer;
- contains every clause required for a specific project;
- is enforceable;
- satisfies licensing requirements;
- satisfies tax or accounting requirements;
- is appropriate for a specific transaction.
The customer is responsible for obtaining legal, accounting, tax, engineering, architectural, or other professional advice when required.
The customer is responsible for determining whether an electronic, typed, drawn, or uploaded signature is legally sufficient for the transaction in which it is used.
18. Contractor Responsibilities
The customer remains responsible for operating the customer's business.
Chantier Works does not verify or guarantee:
- contractor licences;
- regulatory licences;
- permits;
- insurance;
- building-code compliance;
- tax registration;
- tax rates;
- material prices;
- labor rates;
- measurements;
- project profitability;
- legal compliance;
- client obligations;
- payment collection.
The customer must confirm project, financial, regulatory, and business information before relying on it.
19. Third-Party Tools and Integrations
Chantier Works connects to third-party tools for accounting, payment processing, communications, analytics, AI processing, hosting, storage, and other business services.
Third-party tools are separate services operated by their respective providers.
Use of a third-party tool is governed by that provider's own terms, privacy policy, pricing, fees, availability, and technical limitations.
Chantier Works is not responsible for the independent acts, fees, outages, policy changes, or technical failures of third-party tools.
The customer is responsible for maintaining any external account or subscription required for a selected integration.
20. Client Payment Processing
When the Service connects to a third-party payment tool so the customer's clients can make payments:
- the third-party tool processes the transaction;
- the third-party provider sets and charges its own transaction or processing fees;
- Chantier Works does not charge a percentage or transaction fee for the underlying client payment;
- Chantier Works does not become the merchant, bank, lender, or payment processor for the customer's underlying transaction.
Third-party transaction fees are separate from Chantier Works subscription fees.
21. Acceptable Use
The Service must not be used to:
- violate any law;
- infringe intellectual property or privacy rights;
- upload malware or malicious code;
- attempt unauthorized access to accounts, systems, or data;
- bypass subscription, user, AI, or security controls;
- interfere with operation of the Service;
- overload or abuse the Service through automated systems;
- impersonate another person or business;
- commit or facilitate fraud;
- submit content without the required rights or authority;
- reverse engineer the Service except when applicable law expressly grants that right.
Chantier Works investigates suspected misuse and takes enforcement action under these Terms.
22. Intellectual Property
Except for Customer Data, Chantier Works and its licensors retain all rights in the Service, including software, design, branding, interfaces, documentation, templates supplied by Chantier Works, databases and catalog structures, trademarks, and proprietary materials.
A valid trial or subscription grants the customer a limited, non-exclusive, non-transferable right to use the Service according to these Terms.
No ownership interest in Chantier Works intellectual property is transferred to the customer.
23. Feedback
Feedback, suggestions, and product ideas submitted to Chantier Works can be used by Chantier Works to improve, develop, and market the Service without compensation to the person who submitted the feedback.
This section does not transfer ownership of Customer Data.
24. Confidentiality
Chantier Works treats private Customer Data as confidential.
Chantier Works:
- uses Customer Data only for the purposes described in these Terms and the Privacy Policy;
- restricts access to people and third-party tools that require access to provide or secure the Service;
- protects Customer Data using safeguards appropriate to the sensitivity of the information;
- requires third-party service providers that process Customer Data on its behalf to protect its confidentiality and security.
Confidentiality obligations continue after cancellation or termination for as long as Chantier Works retains the information.
25. Service Availability and Product Changes
Chantier Works operates and maintains the Service but does not guarantee uninterrupted or error-free availability.
The Service can be unavailable because of maintenance, updates, security work, infrastructure failures, internet failures, third-party outages, or events outside Chantier Works' control.
Chantier Works updates, improves, replaces, and removes functionality as the Service evolves.
When Chantier Works removes or materially reduces core functionality included in an active paid plan, affected customers receive notice before the change takes effect.
26. Backups and Customer Responsibility
Chantier Works maintains encrypted backups and recovery systems for disaster recovery and service continuity.
Backups do not replace the customer's responsibility to maintain independent copies of records that are critical to the customer's business or that the customer is legally required to preserve independently.
Chantier Works is not the customer's sole legal archive.
27. Suspension
Chantier Works reserves the right to suspend some or all access to the Service for:
- non-payment;
- a material breach of these Terms;
- a security risk;
- suspected fraud;
- unlawful activity;
- abuse of the Service;
- a threat to other customers or infrastructure;
- a legal requirement.
When the issue can be corrected safely, Chantier Works provides notice and an opportunity to correct the issue before permanent termination.
Immediate suspension is used when required to protect the Service, users, data, third parties, or legal compliance.
28. Termination
The customer can stop using Chantier Works and cancel the subscription at any time.
Chantier Works reserves the right to terminate an account for:
- an unresolved material breach of these Terms;
- fraud;
- illegal activity;
- serious abuse;
- intentional circumvention of security or billing controls;
- a serious security threat.
Termination does not remove payment obligations that arose before termination.
29. Data After Cancellation or Termination
Cancellation, expiry, downgrade, or termination does not immediately delete Customer Data.
Inactive Customer Data is retained for 3 years according to the Privacy Policy.
The account owner can request earlier deletion through [email protected].
Deletion requests remain subject to legal retention requirements described in the Privacy Policy.
30. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an “as available” basis.
Chantier Works does not warrant that:
- the Service will always be uninterrupted or error-free;
- every feature will satisfy every business requirement;
- calculations or generated documents will be free from errors;
- third-party integrations will remain available without interruption;
- AI output will be accurate;
- the Service will prevent every data-loss event or security incident.
Nothing in these Terms excludes a warranty or legal obligation that cannot be excluded under applicable law.
31. Limitation of Liability
To the maximum extent permitted by applicable law, Chantier Works is not liable for indirect, incidental, special, consequential, or purely economic losses arising from the Service, including lost profits, lost business opportunities, or lost anticipated savings.
To the maximum extent permitted by applicable law, Chantier Works' total aggregate liability arising out of or relating to the Service during any 12-month period is limited to the subscription fees paid or payable by the affected customer to Chantier Works during the 12 months immediately preceding the event that created the claim.
Nothing in these Terms limits liability that applicable law does not permit Chantier Works to limit, including liability arising from intentional or gross fault and liability for bodily or moral injury where such limitation is prohibited.
32. Indemnification
To the extent permitted by applicable law, the customer agrees to defend and indemnify Chantier Works against third-party claims, losses, and reasonable costs arising directly from:
- Customer Data that the customer had no legal right to provide;
- unlawful use of the Service by the customer;
- a material violation of these Terms by the customer;
- infringement of a third party's rights by the customer.
This indemnification does not apply to the portion of a claim caused by Chantier Works' own fault or conduct for which liability cannot be excluded.
33. Existing-Price Grandfathering
The subscription price paid by an existing customer is grandfathered for that subscription.
Chantier Works does not increase a grandfathered subscription price as part of routine pricing changes.
A grandfathered price changes only when a material change to the Service, operating model, or cost structure requires repricing of the existing subscription.
When an existing grandfathered subscription requires repricing:
- Chantier Works provides at least 90 days' written notice;
- the current price remains unchanged during the notice period;
- the new price takes effect only at the next subscription renewal that occurs after the 90-day notice period;
- no price increase is applied retroactively to a paid billing period.
Chantier Works can introduce new subscription tiers without changing an existing customer's grandfathered subscription.
34. Force Majeure
Chantier Works is not responsible for delay or failure to perform an obligation caused by an event outside its reasonable control, including:
- natural disasters;
- fire;
- flood;
- war;
- terrorism;
- civil unrest;
- government action;
- widespread internet or telecommunications failure;
- utility failure;
- labor disruption;
- failure of critical third-party infrastructure.
This section does not excuse payment obligations that arose before the event.
35. Changes to These Terms
Chantier Works updates these Terms when product, legal, security, or business requirements change.
The current Terms are published on chantierworks.com with the effective date and last updated date.
Material changes are communicated before they take effect through the website, application, email, or a combination of these channels.
A customer that continues using the Service after updated Terms take effect accepts the updated Terms, except where applicable law requires a different form of consent.
36. Assignment
The customer cannot assign or transfer these Terms, an account, or a subscription to another person or business without written approval from Chantier Works.
Chantier Works can assign these Terms as part of a merger, acquisition, corporate reorganization, financing, or sale of all or part of its business.
37. Waiver
A failure by Chantier Works to enforce a provision of these Terms does not waive that provision or the right to enforce it later.
A waiver is effective only when it is made in writing.
38. Severability
If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
The invalid or unenforceable provision is interpreted as closely as legally permitted to its original purpose.
39. Survival
Sections concerning payment obligations, Customer Data ownership, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any provision that by its nature continues after termination remain in effect after the account or subscription ends.
40. Governing Law
These Terms are governed by the laws of the Province of Quebec and the applicable federal laws of Canada.
Disputes relating to these Terms or the Service are brought before a court of competent jurisdiction in the Province of Quebec, except where applicable law requires another forum.
41. Language
A French version of these Terms and an English version are provided for Quebec customers.
The French version is made available before or at the same time as the English version and through the same method of access.
A customer that chooses the English version after receiving access to the French version expressly chooses to be bound by the English version.
42. Entire Agreement
These Terms, the subscription information accepted at checkout, the Privacy Policy, and additional terms expressly accepted for a specific feature form the agreement between the customer and Chantier Works concerning the Service.
When specific additional terms conflict with these Terms, the specific additional terms control only the feature or subject addressed by those additional terms.
